On June 2, Boreton issued a voluntary announcement, disclosing it signed a letter of intent for strategic cooperation with Shanghai Panda Technology Development Co., Limited (Stock Code: 2650, hereinafter referred to as Panda Technology) on June 2, 2026. The two parties plan to carry out long-term strategic cooperation covering new energy construction machinery and intelligent charging infrastructure for an intended term of three years.

Per the letter of intent, cooperation will span multiple dimensions as detailed below:

For market development and channel collaboration, each side will grant the other non-exclusive agency rights to distribute the counterpart’s products and services in overseas markets including Indonesia, Australia and Latin America. Boreton intends to prioritize sourcing charging equipment and robotic charging systems from Panda Technology, while Panda Technology plans to prioritize purchasing Boreton’s electric mining trucks.

Regarding targeted procurement volumes, within three years following the signing date and subject to compliance with Boreton’s technical specifications and execution of legally binding formal contracts, Boreton intends to place cumulative orders for no fewer than 5,000 high-power charging piles or robotic charging devices from Panda Technology or its designated affiliates. Meanwhile, Panda Technology will source a minimum of 500 units of Boreton’s electric mining trucks via direct purchase or third-party referral. Detailed procurement terms will be specified in subsequent formal agreements between both parties.

In addition, the two companies plan to co-invest in establishing shared overseas after-sales service hubs by consolidating maintenance outlets, technical workforce and spare parts inventory to deliver prioritized localized after-market support for each other’s products. A joint technical team will be formed to develop intelligent charging solutions tailored for zero-carbon mine sites and explore data sharing protocols for equipment operation. The partners will jointly promote the turnkey solution combining mining robot fleets and intelligent robotic charging systems. Subject to favorable market conditions, they intend to set up a joint venture to oversee regional market expansion, product sales and after-sales services for designated territories or projects, with supplementary clauses governing intellectual property and brand collaboration.

According to the filing, Panda Technology specializes in R&D of smart charging technologies and system integration for robotic charging equipment with full in-house capabilities for intelligent and robotized charging solutions; the firm was listed on the Main Board of the Hong Kong Stock Exchange in October 2025.

Boreton commented the cooperation framework will facilitate commercialization of its all-electric construction machinery and autonomous driving products while expanding its footprint across intelligent mine and charging infrastructure sectors. Leveraging Boreton’s mining robot cluster and Panda’s intelligent robotic charging system, both sides will develop integrated unmanned solutions for zero-carbon mines to boost comprehensive competitiveness and accelerate industrial commercial rollout.
